Payments, Transfers, or Remittance
Important – The Additional T&Cs stated in this section governs your ability to access StraitsX Services, such as remittances, payments, and/or transfers.
User advisory - The payments, transfers, and/or remittance services are offered by the following StraitsX entity: StraitsX Payment Services Pte Ltd (i.e. SPSPL) and Xfers Pte Ltd (i.e. XPL), each of which provides only certain regulated services under the Payment Services Act 2019. For example, SPSPL has obtained a Major Payment Institution licence under the Payment Services Act 2019 to provide digital payment token services; XPL has obtained a Major Payment Institution licence under the Payment Services Act 2019 to provide domestic and cross-border money transfer service and merchant acquisition service.
SERVICE DESCRIPTION
- You can send or receive payments, transfers using StraitsX Tokens, Non-StraitsX Tokens, and StraitsX E-money via the StraitsX Accounts or remit funds to a third party via our StraitsX remittance service. These services may be accessed via the StraitsX Dashboard or through third-party platforms, applications, or websites, from which you may independently initiate payments, transfers, remittances, or other supported transactions with StraitsX. StraitsX serves both individual users and businesses, offering functionalities that include payment processing with selected Merchant Account Users (as defined below) and Platform Users (as defined below).
STRAITSX REMITTANCE SERVICES
- Notwithstanding the generality of the StraitsX T&Cs, the use of StraitsX remittance service is subject to this clause 2 and clauses 3 and 4 below.
Accessing StraitsX remittance services
- You may access StraitsX’s remittance services via a third-party website, mobile application, or platform. In these situations, when you engage a third party to obtain products or services, you may be required to transfer funds to them as consideration. StraitsX facilitates this by allowing you to use our remittance service to send such funds securely and directly.
- When initiating this process, you will be redirected within the third-party platform to StraitsX’s interface to read and accept these StraitsX T&Cs and complete onboarding to StraitsX. A StraitsX Account will be created for you for the purposes of providing remittance services. Once onboarding is successfully completed, you will be able to proceed with your transaction with the third party.
- Through the third-party platform, you may then instruct StraitsX to:
- receive funds from your Attached Bank Account and remit them to the third party, either to a designated bank account or the third-party’s StraitsX Account (subject to clause 3 below); or
- receive funds from the third party (originating from their bank account or StraitsX Account) and remit the funds to your Attached Bank Account, such as when redeeming products, services or receiving a refund (subject to clause 4 below).
- The remittance instructions, including your Attached Bank Account details, as provided to the third party will be transmitted to StraitsX via secure API integration. StraitsX will process your remittance instructions in accordance with these StraitsX T&Cs and regulatory obligations.
- Any remittance service provided to you by StraitsX, regardless of the fact that it is accessible via a third-party website, mobile application, or platform, is provided by StraitsX independently to you and at their own discretion, and not on behalf of that third party.
Opening up a StraitsX Account for the purposes of accessing our remittance services
- To use the StraitsX remittance service, you will be required to be onboarded to StraitsX in accordance with these StraitsX T&Cs, and a StraitsX Account will be created for you. However, you may not have direct access to this StraitsX Account via the StraitsX Dashboard. Regardless of access, the StraitsX Account is created and maintained by StraitsX and contains your user profile, along with a record of all remittance instructions received from you or on your behalf. Unless otherwise specified, the StraitsX Account created for the purposes of remittance services will not have the functionality to hold any account balance or E-Money.
- Where you access the StraitsX remittance service via a third-party platform, you acknowledge and agree to the following:
- That your KYC and KYB information stored with that third-party platform (if any), along with any supporting documents, may be shared with StraitsX for the purpose of opening up a StraitsX Account and complying with our regulatory obligations. In such a situation, you confirm that all KYC and KYB information shared with StraitsX, either directly by you or through a third-party platform, is accurate, current, and valid. If any information provided is incomplete, outdated, or inaccurate, StraitsX reserves the right to decline, delay, or cancel your remittance transaction and/or restrict your access to our remittance services, as well as remit any funds back to the original sender.
- StraitsX retains full discretion over your onboarding and offboarding you as a customer. No external party (including the third-party platform) has any control, influence, and/or involvement in these processes.
- To comply with its regulatory obligations, StraitsX may also request additional information or documentation at any time during the course of your relationship with StraitsX. This may include, but is not limited to, information related to your StraitsX Account, identity, or a specific remittance transaction. Failure to comply with StraitsX’s requests for such information or documentation may result in the suspension or termination of your StraitsX Account, your access to our remittance services, and refusal by StraitsX to process any pending remittance instruction issued by you.
No recourse to StraitsX
- Once StraitsX has successfully processed and completed the remittance in accordance with your instructions, your sole and exclusive recourse shall be with the relevant third party platform. StraitsX does not assume and expressly disclaims any responsibility or liability for:
- The delivery, specified quantity, quality, legality, fitness for purpose, or adequacy of any other aspect of such goods, services, assets, or funds provided or promised by the third-party platform; and
- Any disputes, claims, or losses arising out of your dealings or contractual relationship with that third-party platform.
- Any discrepancies, shortfalls or errors in the amount remitted by the third party platform to StraitsX (including where you have instructed StraitsX to receive and onward remit such funds to your bank account). In such cases, if the transaction is executed, we shall not be liable for any losses or discrepancies arising from the difference between the expected and received amounts, and the amount received from the third party platform will similarly be treated as a revised instruction on your behalf.
SENDING PAYMENTS/TRANSFERS/REMITTANCE
- You may send a payment, transfer or remittance through the StraitsX Services (whether originating from your StraitsX Accounts or your Attached Bank Account), subject to the availability of the Service to you, these StraitsX T&Cs, including this clause 3, and any Applicable Laws. Such payments, transfers, or remittance may be made to any of the following recipients:
- Your own Non-StraitsX Account;
- A third party’s StraitsX Digital Assets Account or StraitsX Fiat Account; or
- A third party’s bank account.
Payments/transfer/remittance limits
- We may, in our sole and absolute discretion and in accordance with Applicable Laws, impose limits on (a) the amount of StraitsX Tokens and/or Non-StraitsX Tokens that your StraitsX Digital Assets Account may transfer to any Non-StraitsX Account, (b) the amount of StraitsX E-money that your StraitsX Fiat Account may send to any other StraitsX user, and/or (c) the amount of any remittance transaction. If you have a Verified Account, we may increase your limits. We shall not be liable for any loss (direct or indirect) suffered by you or any other person due to any limitation imposed by us.
- In addition to the above, and in accordance with our internal compliance policies and Applicable Laws, the type and extent of information we may require from you to process such transactions may vary depending on the transaction type, direction (inbound or outbound), and value. For example, different requirements may apply depending on whether the transaction amount is above or below regulatory thresholds (e.g. S$1,500 or its equivalent).
Default payment methods
- Unless otherwise instructed, when you make a payment or transfer, we will fund your transaction in this order (subject to availability based on your payment methods and country of registration): (a) from the balance of StraitsX Tokens, Non-StraitsX Tokens and/or StraitsX E-money in your StraitsX Accounts; (b) bank transfer from your Attached Bank Account; (c) Debit card; and then (d) Credit card.
Card charge authorisation
- Should StraitsX introduce the option to use a debit card as a payment method, by adding a debit card to your StraitsX Accounts as a payment method, you are providing StraitsX with continuous authority to automatically charge that card to obtain the relevant funds when the card is used as a payment method pursuant to these StraitsX T&Cs. This continuous authority regarding any card can be terminated by removing the card as a payment method via your StraitsX Dashboard. Furthermore, if you opt to pay for a transaction using your debit card without adding it as a payment method, you are providing us with irrevocable authority to charge that card for the funds required for that transaction.
Sending payments/transfers/remittance
- If you are making a payment/transfer from your StraitsX Accounts and you do not have sufficient StraitsX Tokens, Non-StraitsX Tokens and/or StraitsX E-money, you are required to add the said tokens and/or e-money to your StraitsX Accounts, which may be done through one or more of the following ways:
- Transfer StraitsX Tokens and/or Non-StraitsX Tokens from your Non-StraitsX Account into your StraitsX Digital Assets Account; or
- Instruct that we issue StraitsX E-money into your StraitsX Fiat Account or credit StraitsX Tokens and/or Non-StraitsX Tokens into your StraitsX Digital Assets Account by:
- Transferring money from your Attached Bank Account into StraitsX’s designated bank account (as stated on the StraitsX Website); or
- If permitted and enabled by StraitsX, upon entering your debit card or credit card details, you provide StraitsX with irrevocable authority to charge that card to obtain the relevant funds required for the transaction; or
- Without limiting the generality of any other clauses in the StraitsX T&Cs, you acknowledge that you are solely responsible for the accuracy and completeness of all aspects relating to your payment/transfer/remittance, including but not limited to: (i) sending the correct and intended amount, (ii) sending the funds to a StraitsX’s designated bank account, (iii) providing correct, complete, and consistent information for the transaction, (iv) and doing so within the timeframe communicated to you.
- If you transfer StraitsX Tokens and/or Non-StraitsX Tokens from your Non-StraitsX Account, your StraitsX Digital Assets Account will not be credited with StraitsX Tokens and/or Non-StraitsX Tokens unless we receive the said tokens in the StraitsX designated wallet address with the correct initials / transaction reference code (as generated by the StraitsX system). The transfer of StraitsX Tokens and/or Non-StraitsX Tokens from your Non-StraitsX Account is also subject to our terms and conditions in clause 4 (see below).
- Upon receiving sufficient money (i) in exchange for the purchase of StraitsX Tokens and/or Non-StraitsX Tokens, and/or the issue of StraitsX E-money, we will credit your StraitsX Accounts accordingly (subject to any limits which we may impose pursuant to these StraitsX T&Cs) and effect the payment/transfer; or (ii) for the purpose of carrying out a remittance instruction, we will proceed to process the remittance transaction directly (subject to the StraitsX T&Cs).
- If the intended recipient does not receive the funds, StraitsX Tokens or Non-StraitsX Tokens after the following period of time, please contact StraitsX immediately:
- Three (3) Business Days after (i) your StraitsX Tokens, Non-StraitsX Tokens and/or StraitsX E-money in your StraitsX Accounts has been debited, where you and the recipient are both in Singapore; or (ii) the corresponding amount has been successfully debited from the relevant bank account (which may be your Attached Bank Account or a third party’s bank account, as applicable) for remittance transactions, where both you and the recipient are in Singapore.
- Seven (7) Business Days after (i) your StraitsX Tokens, Non-StraitsX Tokens and/or StraitsX E-money in your StraitsX Accounts has been debited, where you are in Singapore and the recipient is outside Singapore(or in a case where the recipient is in Singapore, where you are outside Singapore); or (ii) the corresponding amount has been successfully debited from the relevant bank account (your Attached Bank Account or a third party’s bank account, as applicable) for remittance transactions, where either you or the recipient is outside Singapore.
Outbound payment/transfer/remittance review
- If any outbound payment/transfer/remittance (be it whether it involves any StraitsX Tokens, Non-StraitsX Tokens, StraitsX E-money or fiat funds originating from your Attached Bank Account) is identified as potentially high-risk, to be determined in our sole and absolute discretion, it may be subject to a payment/transfer/remittance review. After carrying out the review, we may (a) clear the transaction, (b) cancel the transaction, or (c) freeze or hold the transaction until (i) the risk associated with the transaction has dissipated and we decide to clear it or (ii) we receive any notice, judgment, order, directive, or anything of a similar nature, issued by a regulatory body, law enforcement agency, or court of law that requires us to clear, cancel, or dispose the underlying digital assets or funds associated with the transaction in a prescribed manner. A cleared transaction will result in the recipient being notified of the payment/transfer/remittance. If not cleared, the transaction will be cancelled and the underlying digital assets or funds returned to the sender. We shall not be liable for any loss (direct or indirect) suffered by you or any other person due to any restrictions, prohibitions, or outcomes of the payment/transfer/remittance review process.
Refund or return of paid/transferred/remitted amount
- You should contact the receiving user if you wish to get a return or refund for the paid/transferred/remitted amount. For any payments/transfers/remittance, StraitsX is under no obligation to entertain any request for returns or refunds from the sender. The sender shall bear full responsibility or liability for any payment/transfer/remittance made. We may, in our absolute discretion, assist you in contacting the receiving StraitsX user (if applicable), but we shall not be under any obligation to return or refund you the paid/transferred/remitted amount.
Failed outbound payment/transfer/remittance
- If we are unable to process any outbound payment/transfer/remittance for any reason (including but not limited to invalid or incomplete recipient or beneficiary details, blocked or closed recipient accounts, insufficient balances, system errors, or internal and/or compliance-related restrictions), StraitsX will cancel the transaction and return the funds or StraitsX Tokens and/or Non-StraitsX Tokens to your originating account (i.e. your Attached Bank Account, your StraitsX Accounts) less any fees or charges imposed by intermediary, correspondent, or receiving banks, which will be deducted from the returned amount. Please refer to clause 22 of the General T&Cs for more information on applicable fees. Any impact on your underlying transaction with any third party (e.g. failure to receive goods or services) remains your sole responsibility and must be resolved directly with that third party. StraitsX expressly disclaims all liability for any losses or disputes arising from the inability to complete the remittance transaction in accordance with your instruction. You also acknowledge and agree that in such cases: (a) StraitsX shall not be required to notify the intended third-party recipient, investigate the issue, or attempt to correct or resolve any errors in the remittance instruction; and (b) StraitsX will not hold or retain the funds on your behalf pending resolution of the issue, nor credit any amount to any of your StraitsX Accounts.
RECEIVING PAYMENTS/TRANSFERS/REMITTANCE
- You may receive a payment, transfer or remittance through through the StraitsX Services (whether originating from your Non-StraitsX Account or a third-party’s StraitsX Accounts or bank account), subject to availability of Service to you, these StraitsX T&Cs, including this clause 4, and any Applicable Laws. Such payments, transfers, or remittance may be received in any of the following forms:
- StraitsX Tokens and/or Non-StraitsX Tokens credited to your StraitsX Digital Assets Account;
- StraitsX E-Money credited to your StraitsX Fiat Account; or
- Fiat funds remitted directly to your Attached Bank Account.
Payments/transfer/remittance limits
- We may, in our sole and absolute discretion and in accordance with Applicable Laws, impose limits on (a) the amount of StraitsX Tokens and/or Non-StraitsX Tokens that your StraitsX Digital Assets Account may receive from any Non-StraitsX Account, (b) the amount of StraitsX E-money that your StraitsX Fiat Account may receive from other StraitsX users, and/or (c) the amount of any remittance transaction that may be received through StraitsX, regardless of whether the funds are sent from your Attached Bank Account or from a third party’s bank account on your behalf. We shall not be liable for any loss (direct or indirect) suffered by you or any other person due to any limitation imposed by us.
Inbound payment/transfer/remittance review
- If any inbound payment/transfer/remittance (be it whether it involves any StraitsX Tokens, Non-StraitsX Tokens, StraitsX E-money or fiat funds) is identified as potentially high-risk, to be determined in our sole and absolute discretion, it may be subject to a payment/transfer/remittance review. After carrying out the review, we may (a) clear the transaction, (b) cancel the transaction, or (c) freeze or hold the transaction until (i) the risk associated with the payment or transfer has dissipated and we decide to clear it or (ii) we receive any notice, judgment, order, directive, or anything of a similar nature, issued by a regulatory body, law enforcement agency, or court of law that requires us to clear, cancel, or dispose the underlying digital assets or funds associated with the transaction in a prescribed manner. Cleared transactions will result in the recipient being notified of the fund transfer. If not cleared, the transaction will be cancelled and the underlying digital assets or funds returned to the sender. We shall not be liable for any loss (direct or indirect) suffered by you or any other person due to any restrictions, prohibitions, or outcomes of the payment/transfer/remittance review process.
- If you have not received a payment/transfer from a Non-StraitsX Account or a remittance within a reasonable time, your only recourse will be to contact the sender, and/or the party that issues/operates the Non-StraitsX Account (if applicable). We shall not be responsible or liable for the failure to receive any payment/transfer/remittance.
Risk of Reversals, Chargebacks and Claims
- When you receive a payment/transfer/remittance, you are liable to us for the full amount of the payment/transfer/remittance plus any fees if the payment/transfer/remittance is later invalidated for any reason. This means that, in addition to any other liability, you will be responsible for the amount of the payment/transfer/remittance, plus the applicable fees, as charged by us, if you lose a Claim or a Chargeback, or if there is a Reversal of the payment/transfer/remittance.
- In such a situation, we reserve the right to deduct the amount of the payment/transfer/remittance plus the applicable fees, as charged by us, from (i) any funds involved in a future incoming or outgoing payment/transfer/remittance or (ii) the account balance of any of your StraitsX Accounts. If requested by us, you are required to restore or top up your StraitsX Accounts with sufficient StraitsX E-money, StraitsX Tokens, Non-StraitsX Tokens, or through any alternative method that we may direct you to follow, to the extent required to fulfil the amount of the payment/transfer/remittance plus the applicable fees, as charged by us.
Refund or return of paid/transferred/remitted amount
- If you are a receiving user wishing to return or refund the paid/transferred/remitted amount to the sending user or to the sending Non-StraitsX Account (as the case may be), you should contact our customer support team. The return or refund amount should not exceed the original paid/transferred/remitted amount. The processing of any return or refund is in StraitsX’ absolute discretion, and if a return or refund is issued, you continue to be liable for fees for the initial payment/transfer/remittance, as well as the prevailing administrative fees for effecting such a return or refund (if any).
Failed inbound payment/transfer/remittance
- If we are unable to process any inbound payment/transfer/remittance for any reason, StraitsX will cancel the transaction and return the funds or StraitsX Tokens and/or Non-StraitsX Tokens to the originating account (e.g. the originating Non-StraitsX Account or the third-party’s originating bank account). Any impact on your underlying transaction with any third party, including the subsequent refund, re-crediting, or reinstatement of the goods, services, or assets involved, shall be the sole responsibility of that third party. StraitsX shall not be liable for any losses or damages arising from or in connection with such matters, and expressly disclaims all liability in this regard. You also acknowledge and agree that in such cases: (a) StraitsX will not hold the funds on your behalf, nor credit any amount to any of your other StraitsX Accounts; and (b) StraitsX shall have no obligation to notify you, investigate the issue, follow up with the third party, or take any action to correct or validate the remittance instruction.
No double recovery
- You shall not attempt to or receive a return or refund for the same transaction from more than one of the following parties:
- A receiving user or Non-StraitsX Account holder;
- Any third party (e.g. through a chargeback claim to your bank); or
- StraitsX (only if applicable).
THIRD PARTY SERVICES
- If you are receiving or sending payments and/or transfers to/from your StraitsX Accounts, you might be using one of our third party service providers. We reserve the right to change these third party service providers we use any time without any prior notice.
- You are responsible for reading, understanding, and agreeing to comply with the terms and conditions that govern your use of our third party service providers' services.
- You agree and irrevocably authorise StraitsX to collect and disclose your transaction information to such third party service providers. Your information will be used in accordance with their respective privacy policies.
- You agree to indemnify and hold harmless StraitsX, its officers, directors, employees, and agents from any claims, demands, losses, liabilities, damages, costs, and expenses, including attorney’s fees, arising from or in connection with your use of these third-party services, your violation of the terms and conditions of the third-party service providers, or any other violations of rights related to the use of third-party services.
STRAITSX CREDITS
- In addition to the StraitsX Tokens, Non-StraitsX Tokens and/or StraitsX E-money stored in your StraitsX Accounts, you may obtain StraitsX Credits which may be used to pay for certain specified transactions.
- You may obtain StraitsX Credits in the following ways:
- We may issue you StraitsX Credits as part of a promotional campaign which we may conduct from time to time (for example, cashback schemes, loyalty reward schemes, bonus top-up schemes, etc);
- You may purchase StraitsX Credits from us using the balance in your StraitsX Accounts;
- You may purchase StraitsX Credits from us by making a bank transfer from your bank account; or
- You may purchase StraitsX Credits from us by using your debit card or credit card.
- You may use your StraitsX Credits to:
- Pay (partially or fully) for transactions with our selected Merchant Account Users or Platform Users; or
- Pay StraitsX any fees for using any of our Services.
- StraitsX may at its sole and absolute discretion reject your request to purchase StraitsX Credits for any reason whatsoever.
- StraitsX Credits are not redeemable for cash nor are they refundable under any circumstances. They cannot be resold or exchanged for value under any circumstances. StraitsX Credits shall not be regarded, construed, or used as valuable or exchangeable instruments under any circumstances.
- You may check your StraitsX Credits balance in your StraitsX Accounts. The StraitsX Credits balance set out in your StraitsX Accounts shall serve as conclusive evidence of your StraitsX Credits.
- StraitsX Credits will only be valid for (6) six months from the date of their last purchase or spend, whichever is later. The expiry date set out in your StraitsX Accounts will serve as conclusive evidence of the expiry date of your StraitsX Credits. We shall have the right to deal with the expired StraitsX Credits in such manner as it deems fit in its absolute discretion. You hereby agree that you will have no claim whatsoever against us for any expired StraitsX Credits.
- As your StraitsX payments may involve credit or debit cards transaction through our third party service providers and financial institutions, if such transaction results in a reversal or chargeback from our third party service providers or financial institutions, we reserve the right to charge you an administrative fee in addition to a claw-back of the amount from your StraitsX Credits or from your StraitsX Accounts, or any other way we deem fit.
INTEGRATION WITH YOUR WEBSITE, APP OR BUSINESS
Integration
- We offer advanced features for our Merchant Account Users (i.e. Merchant Account Users) to start sending or accepting payments via StraitsX Services by integrating certain software features into their existing website(s), app(s), software, or service(s).
- Merchant Account Users are advised to study the developers’ documentation in the StraitsX website and to conduct extensive testing on their websites before “going live” to accept payments or transfers from their customers using the integrated StraitsX Services.
Platform Users
- We enable Merchant Account Users to integrate StraitsX Services in their platform or marketplace (referred to as Platform Users) to manage the payment experience of their end-users, who may be buying or selling products/goods/assets/property or services on such platforms or marketplaces. Platform Users are able to, amongst other things, create new StraitsX Accounts on behalf of their end-users, send payments, receive payments and withdraw funds from their end-user’s StraitsX Accounts on their behalf.
- For the avoidance of doubt, as a Platform User, you do not own any of the transactions or other details related to any end-user’s StraitsX Accounts. Your role is only as a facilitator.
Agreements with end-users
- As a Platform User, you must have an agreement, whether written or otherwise, with your end-user on how you will be transacting with their StraitsX Account.
- You represent and warrant to StraitsX that you will: (a) obtain authorisation from your end-users for all the Activity initiated on their behalf, and for the use of their data obtained through or used with the StraitsX Services by you, your employees, and your agents; (b) not use the StraitsX Services or knowingly permit the use of the StraitsX Services in a manner that is fraudulent, unlawful, deceptive or abusive.
- You must always take all reasonable steps to ensure that your end-users do not use StraitsX Services in violation of these terms or for any Restricted Activity.
- You are solely responsible for ensuring that each end-user using the StraitsX Services expressly agrees to comply with this Terms of Service. You must ensure that these end-users agree to these terms in a manner that clearly evidences their acceptance and makes clear that StraitsX is providing services to them subject to these Terms of Service. You must ensure that each end-user has an opportunity to review these Terms of Service prior to acceptance that the end-user’s acceptance is sufficient under applicable law (including by ensuring that the person agreeing on behalf of the end-user is of suitable legal age and is authorised to bind the end-user), and that such acceptance is confirmed, recorded, and can be audited.
Data protection
- You agree to have a privacy policy in place to inform your end-users on how their personal information will be collected, used, disclosed and transferred. You will use all reasonable efforts to protect and secure the personal information of your end-users against unauthorised use or disclosure.
- You will include a prominent link to your privacy policy and to our StraitsX Data Privacy Policy in your agreement.
- You will promptly inform us and your end-users where any of their personal information is accessed or disclosed in a manner or for a purpose not indicated in your privacy policy and without their consent.
Platform Users’ right to charge fees
- As a Platform User, you may choose to charge your end-users additional fees on top of our fees. We will deduct those fees from transactions completed through your services and allocate them to your StraitsX Accounts immediately.
- You are solely responsible for accurately and clearly communicating in your agreement with your end-users such fees for their use of your services. You also agree to accurately and clearly communicate to us any such fees that you plan to charge to your end-users before they sign up to use your services.
Transactions with linked StraitsX Accounts
- Authorised transactions and instructions only: If you are a Platform User or Merchant Account User transacting with another end-user’s StraitsX Accounts linked to your website, app, software or service, you shall ensure that you have been duly authorised or have a legal or contractual right to transact with, give instructions, or otherwise make any deductions from these linked accounts.
Responsibility for all transactions and instructions
- You are solely responsible for all transactions and instructions you have given to us in relation to the end-users’ StraitsX Accounts linked to your website, app, software or service. This includes the provision of any products/goods/assets/property or services sold to such end-user or your other end-users as part of your use of the Services, as well as any obligations you may owe to such end-user or your other end-users. Consequently, you agree to fully indemnify us in relation to any such transactions or instructions on your linked end-users’ StraitsX Accounts.
Responsibility for Chargebacks, Reversals, refunds etc
- Without limiting the generality of other clauses in the StraitsX T&Cs, you are financially liable for all Chargebacks, Reversals, refunds, charges and fines for transactions or instructions on your linked end-users’ StraitsX Accounts.
Non-StraitsX Accounts opened by Platform Users and Merchant Account Users
- Platform Users and Merchant Account Users may also open and operate Non-StraitsX Accounts for their customers (i.e. Platform/Merchant Customers) to store StraitsX Tokens and/or Non-StraitsX Tokens. The use of any such Non-StraitsX Accounts by the Platform/Merchant Customers shall be subject to the terms and conditions imposed by the Platform Users and Merchant Account Users.
- If you are a Platform User or Merchant Account user who has opened/opens a Non-StraitsX Account for your Platform/Merchant Customers, you hereby undertake to us to comply with all Applicable Laws, including but not limited to all anti-money laundering and countering the financing of terrorism laws of all jurisdiction(s) that you operate in.
- We may require Platform Users or Merchant Account Users to separately agree to additional terms and conditions relating to (among other matters) the purchase, sale, and use of StraitsX Tokens and/or Non-StraitsX Tokens in the Non-StraitsX Account operated by the Platform Users or Merchant Account Users.
StraitsX co-branding
- If you are a Platform User or a Merchant Account user using advanced features like our integration APIs, we may require you to feature the StraitsX logo and branding at your payment options or payment pages or both. The exact placements and layouts of the StraitsX logo and branding shall be discussed with and agreed on by us, and may be subject to change from time to time.
Use of StraitsX APIs
- We may make available to you StraitsX API guides and documentation, and you shall comply with such documentation in connection with the integration and use of the APIs. You are prohibited from interfacing with StraitsX APIs in a way which we have stated is not permitted in the documentation. Failing to adhere with our StraitsX API guides and documentation may result in the revocation of the right to use the StraitsX API.
Grant of software licence
- If you are using StraitsX software such as an API, developer’s toolkit or other software application that you have downloaded to your computer, device, or other platform, then we grant you a revocable, non-exclusive, non-transferable license to use our software in accordance with the documentation. This license grant includes the software and all updates, upgrades, new versions and replacement software. You may not rent, lease or otherwise transfer your rights in the software to a third party. You must comply with the implementation and use requirements contained in the StraitsX T&Cs and in all StraitsX documentation accompanying the Services and/or the StraitsX software, including the StraitsX API guides and documentation. Failing to adhere with our implementation and use requirements may result in the revocation of license. If you do not comply with our implementation and use requirements you will be liable for all resulting damages suffered by you, StraitsX and third parties. You agree not to alter, reproduce, adapt, distribute, display, publish, reverse engineer, translate, disassemble, decompile or otherwise attempt to create any source code which is derived from the software. You acknowledge that all rights, title and interest to our software are owned by StraitsX. Any third party software application you use on the StraitsX Website is subject to the license you agreed to with the third party that provides you with this software. StraitsX does not own, control nor have any responsibility or liability for any third party software application you elect to use on the StraitsX Website and/or in connection with the Services. If you are using the Services on the StraitsX Website, or other website or platform hosted by us, or a third party, and are not downloading our software or using third party software applications on the StraitsX Website, then this clause does not apply to your use of the hosted Services.
No support
- We do not provide technical or customer support in relation to integrating Services into your website or your business. If we do provide any support, it is purely out of goodwill and we shall not be obligated to continue or follow-up in any matter. Additionally, we shall not be liable for any losses (direct or indirect, special or consequential) that you may suffer from any support that we have provided, even if it was provided negligently.
- You should consult or engage a web developer or an IT team to integrate the Services into your business.
